1. Introduction and Agreement

1.1 Welcome and Overview

These Terms of Use ("Terms") govern your access to and use of the Birdieswap website and interface ("Birdieswap"), available at birdieswap.com and its official subdomains, including (without limitation) app.birdieswap.com, www.birdieswap.com, and docs.birdieswap.com, as well as any related pages, interfaces, APIs, or applications (collectively, the "Interface"), published by 미쁨유한책임회사(Mipeum LLC.) (the "Company," "we," "us," or "our") as a software developer and publisher.

Birdieswap provides non-custodial software, smart contracts, and an Interface intended to facilitate user interactions with decentralised finance ("DeFi") protocols via a dual-layer ERC-4626 vault architecture and related components (collectively, the "Services"), including: (a) integration with third-party yield sources and vaults (including, but not limited to, Harvest, Autopilot, and other integrated protocols) for single-asset deposit and yield accrual; and (b) integration with third-party decentralised exchanges (initially Uniswap v3, subject to change) for liquidity provision and fee accrual; and (c) optional third-party or protocol-defined staking pools for additional incentive distributions, if available.

OPEN BETA NOTICE (TEST ONLY) Birdieswap is provided as an "Open Beta" test. The Services are experimental, may contain bugs, and may be modified, suspended, or discontinued at any time. Birdieswap is not offered as a “grand opening” or fully launched service. Open Beta status remains in effect unless and until the Company posts a clear notice on the official Birdieswap website or Interface that the Open Beta has ended (e.g., a “Grand Opening” notice or equivalent).

1.2 Binding Agreement

By accessing or using Birdieswap, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Risk Disclosures, each of which is incorporated by reference:

If you do not agree, you must cease using Birdieswap immediately.

1.3 No Custody

The Company does not hold, custody, possess, or control your digital assets at any time. All interactions occur via your self-custodied wallet and direct blockchain transactions.

1.4 Software Publisher Only; No Operation of Protocols

You acknowledge and agree that the Company’s role is limited to developing and publishing software, smart contracts, and the Interface. The Company does not operate, control, administer, or manage any third-party protocols integrated into the Services, and does not act as an exchange, broker, custodian, agent, advisor, or fiduciary.

2. Modifications to Terms

We may update these Terms at any time by posting a revised version on our website or Interface. The updated Terms will be effective immediately upon posting. Your continued use of Birdieswap constitutes your acceptance of the updated Terms.

3. Disclaimers and Acknowledgments

3.1 No Financial Advice

All information provided through Birdieswap — including APRs/APYs, estimates, rankings, allocation logic, vault metrics, pool data, and other performance-related data — is for informational purposes only and does not constitute financial, legal, or tax advice. Any references to “optimized,” “improved,” “dual-yield,” or similar terms describe intended functionality only and are not guarantees of results.

3.2 Risks

Using Birdieswap involves significant risks, including the potential loss of all assets allocated to connected protocols. You must read and understand our Risk Disclosures before using the Services.

3.3 Third-Party Integrations

Birdieswap integrates with protocols operated by independent third parties, including third-party yield sources/vaults and third-party DEXs (initially Uniswap v3, subject to change). We do not control these protocols and are not responsible for their operation, performance, availability, upgrades, governance actions, or security.

3.4 Interface Authenticity and Security Awareness

You are solely responsible for ensuring you are accessing the genuine Birdieswap Interface at birdieswap.com or its official subdomains. The Interface could be subject to hacking, phishing, DNS hijacking, spoofing, or other malicious interference. Interacting through a compromised or fraudulent interface may result in total and unrecoverable loss of assets or data, for which we cannot be held responsible.

3.5 Experimental Nature (Open Beta)

The Services (including any smart contracts) are experimental. Bugs, exploits, unexpected behaviors, external protocol upgrades, third-party governance changes, and chain-level failures may result in partial or total loss of assets. You use the Services at your sole risk.

4. User Responsibilities

You agree to:

• Maintain full control of your private keys and wallet credentials.

• Verify all transaction details (including contract addresses, token amounts, and network) before confirming on-chain.

• Ensure you are using the official Birdieswap domain or subdomains before interacting.

• Comply with all applicable laws, including tax reporting obligations.

• Conduct independent due diligence on all vaults, pools, protocols, and assets you interact with.

5. Eligibility

1. To use Birdieswap, you must:

• Be at least 18 years old (or legal age of majority in your jurisdiction).

• Not be a “Sanctioned Person” and not be located in, or a resident of, any jurisdiction restricted under applicable sanctions laws and regulations.

6. Prohibited Uses You may not:

• Use Birdieswap for any illegal activity, including money laundering or terrorist financing.

• Attempt unauthorised access, exploit, reverse-engineer, disrupt, or interfere with the Services, smart contracts, or Interface.

• Deploy malicious code, perform denial-of-service attacks, or engage in abusive automated scraping that harms availability.

• Use stolen or fraudulently obtained funds.

• Manipulate displayed metrics, liquidity, yields, or strategy behavior through deceptive or abusive conduct.

• Circumvent geoblocking or access controls, if implemented.

7. Fees, Reserves, and Transactions

7.1 Third-Party Fees

Third-party protocols may charge fees, including (without limitation) trading fees on DEXs (e.g., Uniswap), protocol fees, performance fees, management fees, and transaction costs. These fees are set and collected by independent third parties and are not controlled by the Company.

During Open Beta, the Company does not charge any interface-level or protocol-level fees that are set by the Company itself, except as may be expressly disclosed through the Interface or documentation. For clarity: users may still incur third-party fees (including DEX trading fees) when using the Services.

7.2 Reserve Allocation (Protocol-Defined)

Certain smart contract functions may include protocol-defined reserve allocations. For example, for certain dual-vault auto-compounding functions (e.g., “doHardWork”), a portion of collected amounts may be transferred to a designated reserve wallet as defined by the smart contract parameters (currently configured, for certain functions, as a 50% reserve rate on collected bToken amounts, subject to change by contract design or future upgrades).

The reserve wallet is currently intended to be a Gnosis Safe (multisignature) address. You acknowledge that any such reserve allocation is executed by smart contracts according to on-chain logic and is not reversible by the Company.

7.3 Finality of Transactions

All blockchain transactions are final and irreversible. The Company cannot reverse, refund, or modify any transaction.

8. Intellectual Property

All intellectual property in Birdieswap's website content, branding, and user interface is owned by or licensed to the Company. You may not copy, modify, distribute, or create derivative works from our materials without written consent, except as permitted by applicable law.

9. Limitation of Liability

To the fullest extent permitted by law, the Company, its affiliates, and their personnel will not be liable for:

• Any loss of assets due to protocol failures, bugs, exploits, MEV, oracle failures, governance actions, chain reorganizations, forks, or third-party actions.

• Any inaccuracies or delays in displayed data, estimates, metrics, or allocation logic.

• Any interruptions, downtime, censorship, or inability to access the Interface.

• Losses resulting from interacting through a fraudulent or compromised interface.

To the fullest extent permitted by law, the Company’s total liability to you will not exceed USD $100.

Where permitted by law, the Company shall be liable only for direct damages resulting from the Company’s willful misconduct or gross negligence. Nothing in these Terms limits liability to the extent it cannot be limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, and their personnel from any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising from your use of Birdieswap, including your breach of these Terms, violation of applicable law, or actions related to connected protocols.

11. Assumption of Risk and Waiver of Claims

By using Birdieswap, you:

• Accept all risks associated with the Services and all integrations.

• Acknowledge that the Company is not liable for any loss of assets, performance shortfalls, or other damages.

• Irrevocably waive, release, and discharge the Company, its affiliates, and their personnel from any and all legal claims or causes of action, to the fullest extent permitted by law.

• Agree not to initiate, join, or participate in any class action or representative proceeding against the Company, except where prohibited by applicable law.

12. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Korea. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the competent courts located in Seoul, Republic of Korea, except where prohibited by applicable law.

In all cases, mandatory consumer protection laws of a user’s jurisdiction shall prevail where applicable.

13. Termination

We may suspend or terminate your access to Birdieswap at any time without notice if you violate these Terms or if required by law. Sections relating to disclaimers, limitation of liability, indemnification, assumption of risk, and dispute resolution will survive termination.

14. Future Operator / Successor

If operation of Birdieswap is transferred to a successor operator in the future, your continued use of Birdieswap after notice of such transfer constitutes your acceptance of the successor operator’s updated terms and policies.
